Legal Terms and Conditions for Zenix Labs Services

1 Acceptance of Terms

By accessing or using Zenix Labs' CloudLockInRisk service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Zenix Labs reserves the right to update these Terms at any time without prior notice. Your continued use of the Service after changes constitutes acceptance of the new Terms.

Important: These Terms constitute a legal agreement between you and Zenix Labs. Please read them carefully.

2 Description of Service

CloudLockInRisk is a cloud vendor lock-in assessment calculator that provides:

  • Vendor Lock-In Risk Score analysis (1-100 scale)
  • Financial Impact Analysis for cloud migration
  • Migration cost calculator for cloud services
  • Alternative provider compatibility assessment
  • Risk mitigation roadmap with actionable recommendations

The Service is currently in MVP (Minimum Viable Product) stage and is provided on an "as-is" basis. Features and functionality may change as we continue development.

Beta Notice: CloudLockInRisk is currently in development. Assessment results are for informational purposes only and should not be the sole basis for business decisions.

3 User Eligibility

You may use our Service only if you:

  • Are at least 18 years old and have the legal capacity to enter into agreements
  • Represent a legitimate business entity or organization
  • Have the authority to bind your organization to these Terms
  • Agree to provide accurate and complete information
  • Comply with all applicable laws and regulations

Enterprise users must have proper authorization from their organization to use cloud assessment tools and share relevant infrastructure information.

4 User Accounts and Responsibilities

When creating an account, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Providing accurate, current, and complete information
  • Updating your information to keep it accurate and complete
  • Notifying us immediately of any unauthorized use of your account
  • Being responsible for all activities under your account

You agree to accept responsibility for all activities that occur under your account or password. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

5 Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, offensive, or inappropriate content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use automated tools to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for competitive analysis or to build competing products
  • Share assessment results in ways that could harm cloud providers unfairly

Violation Consequences: Violation of this policy may result in immediate termination of your account and legal action.

6 Intellectual Property Rights

Our Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Zenix Labs. This includes but is not limited to:

  • CloudLockInRisk assessment algorithms and methodologies
  • Risk calculation models and scoring systems
  • Software code, designs, and user interfaces
  • Trademarks, service marks, and logos
  • Documentation, reports, and analytical frameworks

Your Rights

You retain ownership of the data you input into our Service. By using the Service, you grant us a limited license to:

  • Process your data to provide assessment results
  • Use aggregated, anonymized data for service improvement
  • Generate reports and recommendations based on your inputs

7 Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Security

We implement appropriate technical and organizational measures to protect your data, including:

  • AWS security best practices and compliance

8 Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

Assessment Limitations

  • Risk scores are estimates based on available data and algorithms
  • Migration costs are approximations and may vary significantly
  • Assessment results should not be the sole basis for business decisions
  • We do not guarantee the accuracy of third-party cloud provider information
  • Market conditions and provider policies may change after assessment

Service Availability

We do not warrant that:

  • The Service will be available without interruption
  • The Service will be error-free or completely secure
  • Results will meet your specific requirements
  • Defects will be corrected within any specific timeframe

Professional Advice: Our assessments are tools to inform decision-making, not professional consulting advice. Consult with qualified professionals for critical business decisions.

9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENIX LABS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Costs of migration or switching cloud providers
  • Business decisions made based on our assessments
  • Third-party actions or omissions
  • Service interruptions or data loss

Liability Cap

Our total liability to you for all claims arising from or related to the Service shall not exceed the greater of:

  • $100 USD, or
  • The amount you paid us in the 12 months preceding the claim

Legal Note: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.

10 Termination

Termination by You

You may terminate your account at any time by:

  • Contacting us at hello@zenixlabs.com
  • Following the account cancellation process in your dashboard (when available)
  • Ceasing to use the Service

Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you:

  • Breach these Terms of Service
  • Violate our Acceptable Use Policy
  • Engage in fraudulent or illegal activities
  • Fail to pay applicable fees (when applicable)
  • Pose a security risk to our Service or other users

Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account and data after 30 days
  • You remain liable for any charges incurred before termination
  • Sections regarding liability, indemnification, and dispute resolution survive termination

11 Governing Law and Dispute Resolution
